Product Terms

These Product Terms ("Agreement") govern your access to and use of the software products, platforms, and related services ("Products") provided by Cloudteam Ltd. ("Cloudteam", "we", "us"). By accessing or using any Product, you agree to be bound by this Agreement. If you do not agree, you must not use the Products.

These Product Terms supplement the general Terms of Use and Privacy Notice. In the event of a conflict between these Product Terms and the general Terms of Use, these Product Terms shall prevail with respect to the Products.

Definitions

"Products" means the software applications, APIs, cloud-hosted platforms, and associated documentation provided by Cloudteam under a valid subscription or license. "Customer" means the entity or individual that has entered into a subscription agreement with Cloudteam. "Customer Data" means any data, content, or materials uploaded, submitted, or transmitted by Customer through the Products. "Authorized Users" means individuals permitted by the Customer to access the Products under the Customer's account.

License Grant

Subject to the terms of this Agreement and payment of applicable fees, Cloudteam grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Products during the subscription term solely for Customer's internal business purposes. This license does not include the right to sublicense, resell, or distribute the Products to any third party.

Usage Restrictions

Customer shall not: (a) reverse engineer, decompile, or disassemble any part of the Products; (b) use the Products to build a competing product or service; (c) share account credentials with unauthorized parties; (d) attempt to gain unauthorized access to Cloudteam systems or infrastructure; (e) use the Products in violation of any applicable law or regulation; (f) remove or alter any proprietary notices, labels, or markings on the Products.

Customer Data & Privacy

Customer retains all ownership rights in Customer Data. Cloudteam will process Customer Data solely as necessary to provide the Products and in accordance with our Privacy Notice and Data Processing Agreement (DPA). Cloudteam implements industry-standard security measures including encryption at rest and in transit, access controls, and regular security audits to protect Customer Data.

Service Availability

Cloudteam will use commercially reasonable efforts to maintain Product availability of 99.5% uptime measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. In the event of unplanned downtime exceeding the availability commitment, Customer may request service credits as outlined in the applicable Service Level Agreement (SLA).

Support & Maintenance

Cloudteam provides standard support during business hours (Monday–Friday, 9:00–18:00 ICT, excluding public holidays). Support includes assistance with Product functionality, bug reports, and general usage inquiries. Enhanced support tiers with 24/7 coverage and dedicated account management are available under separate agreement.

Fees & Payment

Fees for the Products are as set forth in the applicable order form or subscription agreement. All fees are due within 30 days of invoice date unless otherwise specified. Fees are non-refundable except as expressly stated in this Agreement. Cloudteam reserves the right to adjust pricing upon 60 days' written notice prior to any renewal term.

Intellectual Property

All intellectual property rights in the Products, including software, documentation, designs, and trademarks, remain the exclusive property of Cloudteam. Nothing in this Agreement transfers any ownership rights to Customer. Any feedback, suggestions, or improvement ideas provided by Customer may be used by Cloudteam without obligation or compensation.

Warranty Disclaimer

THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDTEAM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLOUDTEAM DOES NOT WARRANT THAT THE PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDTEAM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL CLOUDTEAM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Term & Termination

This Agreement is effective from the date of first access and continues for the duration of the subscription term. Either party may terminate this Agreement for material breach if the breach remains uncured for 30 days after written notice. Upon termination, Customer's access to the Products will be revoked and Cloudteam will delete Customer Data within 90 days, unless retention is required by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved by the competent courts of Ho Chi Minh City, Vietnam.
